Introduction
These Terms and Conditions of Use ("Terms") govern the use of the Key-Trans application ("App") and website ("Site"). By accessing, browsing, or using the App or Site, you ("User") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using the App or Site.
Scope of Terms
1. These Terms apply to all Users of the App and Site, including but not limited to suppliers, consignors, receivers, consignees, vehicle owners, transport contractors, and agents.
2. The App and Site provide a platform for Users to submit requirements, bid for rates, exchange information, and enter into contracts or transactions for transportation, conveyance, or movement of goods.
3. Key-Trans provides an online platform for Users (including suppliers, consignors, receivers, consignees, vehicle owners, transport contractors, and agents) to facilitate transactions for transportation, conveyance, or movement of goods. Key-Trans is not a party to any agreements or contracts entered into between Users.
4. Users agree to indemnify and hold harmless Key-Trans, its personnel, and agents against all claims, damages, losses, and expenses (including legal fees and expenses) arising from:
- Any negligence, willful act, or breach of contract by or between Users.
- Any disputes or claims related to goods, services, or transactions facilitated through the platform.
By using the platform, Users acknowledge and agree to these terms.
User’s Obligation
The users agree not to:
1.Use the App or Site to obtain unauthorized access to services, systems, networks, or data.
2. Violate applicable laws or regulations.
3. Make available content that infringes on patent, trademark, copyright, or other proprietary rights.
4. Make available viruses or computer code designed to interrupt or limit App or Site functionality.
5. Interfere with or disrupt App or Site services or connected servers, systems, or networks.
Confidentiality
1. Key-Trans shall treat non-public data and information as confidential and use it exclusively for intended purposes.
2. Confidentiality obligations do not apply to data and information required to be disclosed due to legal obligations.
Limitation of Liability and Warranties
Key-Trans shall not be liable for:
1. Pricing and payment terms of contracts between Users.
2. Disputes regarding goods conveyed, including quantity, quality, packing, and assembling.
3. Claims, losses, damages, and liabilities arising from use or misuse of the App, violation of Terms, or breach of representations and warranties.
4. Late pickup, delivery, or waiting charges.
5. Goods or services procured or availed using the App, and Users are responsible for evaluating terms and conditions.
6. Natural loss, damage, or deterioration of goods due to pilferage, theft, accident, or natural calamity.
7. Conduct of vehicle drivers, helper, supplier and receiver.
8. Performance of services agreed upon by User parties.
USER RESPONSIBILITIES
Users are responsible for:
1. Checking contents, packing, sealing, addressing, labeling, and handling of goods and vehicle details, permits, license, challan etc.
2. Complying with agreed terms, and failure to do so may result in penalties in the form of negative remarks or fees.
FEEDBACK AND REPORTING
Key-Trans may:
1. Request feedback from Users.
2. Report and notify fraudulent or malicious behavior of the users on the platform.
3. Contact Users for clarification purposes.
Intellectual Property
1. Key-Trans name and logo, trademarks, service marks, graphics, and logos are proprietary to Key-Trans.
2. User shall not use Key-Trans trademarks without prior written permission.
Governing Law and Jurisdiction
Any dispute, conflict, claim, or controversy arising out of or broadly in connection with or relating to the Services or these Terms, including those relating to its validity, construction, or enforceability ("Dispute"), shall be first mandatorily submitted to mediation proceedings in accordance with Indian law. If such Dispute has not been settled within sixty (60) days after a request for mediation has been submitted under Indian law, the Dispute shall be exclusively and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a single arbitrator appointed by Key-Trans, and the place of both mediation and arbitration shall be Durg, Chhattisgarh, India.
The language of the mediation and/or arbitration shall be English, or any other common language. The existence and content of the mediation and arbitration proceedings, including documents and briefs submitted by the parties, correspondence from the mediator, and correspondence, orders, and awards issued by the sole arbitrator, shall remain strictly confidential and shall not be disclosed to any third party without the express written consent of the other party. However, disclosure to a third party may be made if it is reasonably required in the context of conducting the mediation or arbitration proceedings, and the third party agrees unconditionally in writing to be bound by the confidentiality obligation stipulated herein.
Amendment to Terms:
1. Key-Trans reserves the right to amend or modify these Terms at any time without prior notice.
2. Changes to these Terms shall become effective immediately upon posting on the App or Site.
Miscellaneous
1. These Terms do not create a partnership or agency between User and Key-Trans.
2. Each obligation in these Terms is separate, and invalidity of one obligation shall not affect others.
3. Time is of utmost importance for matters relating to these Terms.
